Terms of Service

1. Acceptance of terms

These Terms of Service ("Terms") govern access to and use of the Ribbt real-estate CRM (the "Service"), operated by HBTUS TECHNOLOGY INC. ("we", "us", "our"). By creating an account or otherwise using the Service, you agree to be bound by these Terms. If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization.

2. The Service

Ribbt is a subscription CRM for real-estate teams: contacts, buyer and seller pipelines, an omni-channel inbox, calling, calendar sync, automation, and reporting. Calling and texting (Twilio) and bulk email campaigns (SendGrid) are "bring-your-own" — each requires you to connect your own third-party account; the Service does not provide those underlying carrier or email-sending accounts. AI features work differently: the Service includes the OpenAI model we provide, or you may bring your own AI provider key instead — either way, AI is off until you turn it on.

3. Accounts and eligibility

You must provide accurate registration information and keep your credentials confidential. You are responsible for all activity under your account. You must be at least 18 years old to use the Service, and the Service is intended for business use by real-estate professionals and their teams, not for personal or consumer use.

4. Subscription and billing

The Service is offered on tiered subscription plans, each including a set number of seats; additional seats beyond a plan's included allowance are billed at that plan's published per-seat rate. Current plans, seat allowances, per-seat rates, and billing-period pricing are published on the pricing page, which is the source of truth for pricing — it may change from time to time, and the version in effect at the time of a charge governs that charge. Prices are in Canadian dollars; GST and PST are additional. New accounts include a 14-day free trial; unless cancelled before the trial ends, the subscription converts to a paid plan automatically. Billing and payment processing are handled by Stripe. You may cancel at any time from the billing portal; cancellation takes effect at the end of the billing period you've already paid for — you keep access until then. Because the 14-day free trial is how you evaluate the Service risk-free before you're charged, paid billing periods are non-refundable.

5. Acceptable use

You agree not to use the Service to violate applicable law (including anti-spam law such as CASL for email/SMS campaigns sent through your connected accounts), to infringe on the rights of others, or to attempt to disrupt, reverse-engineer, or gain unauthorized access to the Service. You are responsible for obtaining appropriate consent before contacting individuals through any channel connected to your account.

6. Your data and third-party accounts

You retain ownership of the contact, communication, and business data you store in the Service. Accounts you connect (Twilio, AI providers, email/calendar accounts) remain yours — the Service acts as a workspace over them, not a replacement for them. See the Privacy Policy for how personal information is collected, used, and shared, including the sub-processors involved in operating the Service.

Inspection reports — active custody, not archive of record. Ribbt is not a permanent archive for inspection reports and photos. A published inspection report and its photos are held for the duration of your active subscription, plus a 90-day grace period after cancellation. If the subscription is not reactivated within that grace period, the report, its photos, and any underlying files are permanently deleted and cannot be recovered. You are responsible for keeping your own copies of any report you need to retain beyond that window; the Service provides a one-click export (report + original photos, bundled) at any time before deletion so you can do so.

7. Termination

You may stop using the Service and cancel your subscription at any time. We may suspend or terminate access for material breach of these Terms, non-payment, or as required by law.

Deletion 90 days after cancellation. Ribbt is not a long-term archive. Ninety days after a subscription is cancelled, the following are permanently deleted, and that deletion cannot be undone: contact records, which are irreversibly stripped of every identifying detail; communications, including email and SMS message content, threads and conversations, connected mailbox records, and messages still queued to send; and calendar events, including their titles, descriptions, locations, and attendee lists. Inspection reports and their photos are deleted on the same 90-day schedule, under the custody terms in Section 6. Reactivating the subscription before the 90 days elapse stops the deletion.

Records elsewhere in the Service that merely reference a contact — deal and pipeline history, for example — may be retained, but once the contact record is erased they no longer identify anyone. Some records are kept deliberately: billing and payment records, security and audit logs, consent records, and anything we are required by law to retain, each for the periods described in the Privacy Policy (Section 6). Material you authored rather than client data — message templates, and the configuration of third-party accounts you connected — is also outside this deletion; those third-party accounts remain yours to close directly with the provider. After the 90 days we cannot restore this data and do not keep an archival copy on your behalf. Retain your own copies of anything you need to keep before you cancel.

8. Disclaimers and limitation of liability

The Service is provided "as is" without warranties of any kind, express or implied, except as required by applicable law. To the maximum extent permitted by law, HBTUS TECHNOLOGY INC. will not be liable for indirect, incidental, or consequential damages arising from use of the Service, including damages arising from data deleted in the ordinary course of the retention policy described in Section 6 (active custody, not archive of record). 9. Governing law

10. Changes to these terms

We may update these Terms from time to time. Material changes will be communicated by email or an in-product notice before they take effect. Continued use of the Service after changes take effect constitutes acceptance of the updated Terms.
